Agreement to Terms
By accessing and using the website and services of Stark Enterprises ("Company," "we," "our," or "us"), a proprietorship firm registered under GST (GSTIN: 27AOXPJ8637F2Z8), you agree to be bound by these Terms and Conditions. If you do not agree with any part of these terms, you must not use our website or services.
Services
Stark Enterprises provides the following software and technology services:
- Custom software development
- Web application development
- Mobile application development
- Cloud solutions and DevOps services
- UI/UX design services
- IT consulting and advisory
- Software maintenance and support
The specific scope, deliverables, timelines, and pricing for each project will be defined in a separate project proposal, statement of work (SOW), or service agreement mutually agreed upon by both parties.
Engagement and Project Terms
- All projects commence only after a formal agreement (proposal, SOW, or contract) is signed and the agreed advance payment is received.
- Project timelines are estimates and may vary depending on scope changes, client feedback delays, or unforeseen technical challenges.
- The client is responsible for providing timely feedback, content, assets, and approvals to avoid project delays.
- Any changes to the original scope will be treated as a change request and may involve additional costs and time.
Payments
- Payment terms will be defined in the project agreement. Typically, projects require an advance payment before commencement.
- All payments are to be made in Indian Rupees (INR) unless otherwise agreed.
- Payments can be made via Razorpay (credit card, debit card, UPI, net banking) or direct bank transfer.
- All prices are exclusive of applicable taxes (GST at 18%) unless stated otherwise.
- Late payments may attract interest at 2% per month on the outstanding amount.
- Work on the project may be paused if payments are overdue beyond 15 days.
Intellectual Property
- Upon full and final payment, the client will own the intellectual property rights to the custom software, code, and deliverables created specifically for their project, unless otherwise stated in the agreement.
- Stark Enterprises retains the right to use general-purpose tools, frameworks, libraries, and reusable components developed during the project.
- We reserve the right to showcase the project in our portfolio and marketing materials unless the client requests otherwise in writing.
- Any third-party software, libraries, or assets used in the project will be subject to their respective licenses.
Confidentiality
Both parties agree to maintain confidentiality of any proprietary or sensitive information shared during the engagement. This obligation survives the termination of the agreement. A separate Non-Disclosure Agreement (NDA) can be executed upon request.
Warranties and Disclaimer
- We warrant that services will be performed in a professional and workmanlike manner consistent with industry standards.
- We provide a bug-fix warranty period (typically 30-90 days after delivery, as defined in the agreement) for defects in the delivered software.
- We do not guarantee that the software will be completely error-free or uninterrupted. Software is inherently complex and may require ongoing maintenance.
- Our services and website are provided "as is" without warranties of any kind, either express or implied, to the fullest extent permitted by law.
Limitation of Liability
To the maximum extent permitted by law, Stark Enterprises shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising from the use of our services or website. Our total liability shall not exceed the total amount paid by the client for the specific project or service in question.
Termination
- Either party may terminate the engagement by providing 15 days' written notice.
- Upon termination, the client is liable to pay for all work completed up to the termination date.
- Any advance payments made will be adjusted against work completed; refunds (if applicable) will be processed per our Refund Policy.
- We reserve the right to terminate services immediately if the client engages in illegal activities or violates these terms.
Client Responsibilities
- Providing accurate and complete project requirements and specifications.
- Timely review and approval of deliverables at each milestone.
- Providing necessary access, credentials, and resources required for the project.
- Ensuring that all content, data, and materials provided to us do not infringe third-party rights.
Governing Law and Jurisdiction
These Terms and Conditions are governed by and construed in accordance with the laws of India. Any disputes arising out of or in connection with these terms shall be subject to the exclusive jurisdiction of the courts in Sangli, Maharashtra, India.
Indemnification
You agree to indemnify and hold harmless Stark Enterprises, its owner, employees, and agents from any claims, liabilities, damages, losses, or expenses arising from your use of our services, violation of these terms, or infringement of any third-party rights.
Modifications
We reserve the right to update or modify these Terms and Conditions at any time. Changes will be posted on this page with an updated date. Continued use of our services after changes are posted constitutes your acceptance of the revised terms.
Severability
If any provision of these Terms and Conditions is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
